IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
These Terms of Service ("Terms") constitute a legally binding agreement between you and NTRVSTA Inc., a Delaware corporation doing business as NTRVSTA ("NTRVSTA," "Company," "we," "us," or "our"). These Terms govern your access to and use of our AI-powered interview and structured conversation platform, including our website at ntrvsta.com, mobile applications, APIs, and all related services (collectively, the "Services").
By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at ntrvsta.com/privacy-policy), and any Additional Terms that may apply to specific features or services. If you do not agree to these Terms, you may not access or use our Services.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include that organization.
"Account" means your registered account with NTRVSTA to access and use the Services.
"AI Features" means our artificial intelligence capabilities, including but not limited to AI avatars, voice synthesis, natural language processing, interview analysis, and automated scoring.
"Biometric Data" means data derived from your physical characteristics, including voice prints, facial geometry, and other biometric identifiers used to provide AI Features.
"Client" means any individual or organization using the Services to conduct interviews, assessments, or structured conversations.
"Content" means all text, graphics, data, articles, photos, images, illustrations, videos, audio recordings, and other materials displayed, performed, or available through the Services.
"Provider" means any individual offering services through the NTRVSTA platform.
"Provider Services" means the services offered by Providers to Clients through the platform.
"User Content" means any Content that you submit, upload, or transmit through the Services, including interview recordings, responses, and profile information.
To use our Services, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. If you are between 16 and 18 years old, you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
To access certain features of the Services, you must create an Account. When registering, you agree to:
• Provide accurate, current, and complete information
• Maintain and promptly update your Account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your Account
• Notify us immediately of any unauthorized use of your Account
You may not select a username that impersonates another person, violates any trademark or proprietary rights, or is offensive or inappropriate. You may not transfer your Account to any third party without our prior written consent. Use of sub-accounts, multi-tenant access, or resale functionality is strictly limited to approved enterprise accounts under a signed agreement.
You may access the Services using credentials from third-party services (e.g., Google, LinkedIn). By doing so, you authorize us to access certain information from those accounts as permitted by your privacy settings. You remain responsible for your use of any third-party services.
NTRVSTA provides AI-powered features including, but not limited to:
• AI Avatar Generation: Creating digital avatars based on your likeness for interview facilitation
• Voice Synthesis: Generating synthetic voice based on your voice recordings
• Interview Analysis: Automated analysis and scoring of interview responses
• Natural Language Processing: Understanding and processing spoken and written responses
• Compliance Scoring: Automated assessment against defined criteria and regulations
BY USING OUR AI FEATURES, YOU EXPRESSLY CONSENT TO THE COLLECTION, PROCESSING, AND STORAGE OF YOUR BIOMETRIC DATA, INCLUDING VOICE PRINTS AND FACIAL GEOMETRY, FOR THE PURPOSE OF PROVIDING AI AVATAR AND VOICE SYNTHESIS SERVICES.
You acknowledge and agree that:
• We will collect Biometric Data from your video and audio recordings
• This data will be processed by our AI systems and trusted service providers
• Biometric Data will be retained as described in our Privacy Policy
• You may withdraw consent by contacting us, which may limit your ability to use certain AI Features
You understand and acknowledge that:
• AI-generated content and analysis may contain errors or inaccuracies
• AI Features are tools to assist, not replace, human judgment and decision-making
• You should not rely solely on AI-generated analysis for consequential decisions
• We continuously improve our AI systems, which may result in changes to outputs over time
You agree not to use our AI Features to:
• Create deepfakes or deceptive media intended to mislead others
• Impersonate individuals without their express written consent
• Generate content that violates any laws or regulations
• Circumvent security measures or access controls
• Train competing AI models without our express written permission
NTRVSTA operates as a platform connecting Providers with Clients. We are not a party to any agreement between Providers and Clients, and we do not employ Providers or guarantee the quality of Provider Services.
Providers are independent contractors and not employees, partners, agents, or franchisees of NTRVSTA. NTRVSTA does not supervise, direct, or control Provider Services and expressly disclaims any responsibility for Provider Services, including any warranty of quality, fitness for a particular purpose, or compliance with applicable laws.
Clients are responsible for making their own determinations regarding the suitability of any Provider. Before engaging any Provider, Clients should verify credentials, qualifications, and fitness for their specific needs.
Clients and Providers must not enter into separate agreements outside of NTRVSTA relating to Provider Services ("Outside Agreements"). Entering into Outside Agreements may result in Account termination, and NTRVSTA is not responsible for enforcing any Outside Agreements.
Providers may not collect, retain, or use any Client information beyond what is strictly necessary to perform Provider Services for the applicable Client. Upon conclusion of Provider Services, Providers must securely destroy all Client information. Providers must comply with all applicable data protection laws.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and third-party rights.
You agree not to:
• Violate any applicable law, regulation, or third-party rights
• Infringe any intellectual property, privacy, or proprietary rights
• Submit Content that is false, misleading, defamatory, obscene, or harmful
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the Services or servers
• Use automated means (bots, scrapers, crawlers) to access the Services without permission
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent any security or access controls
• Use the Services for spam, phishing, or other malicious purposes
• Resell or redistribute the Services without authorization
• Engage in any activity that could damage, disable, or impair the Services
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account.
The Services, including all Content, features, functionality, software, and documentation, are owned by NTRVSTA or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. NTRVSTA, the NTRVSTA logo, and all related names, logos, and designs are trademarks of NTRVSTA Inc.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal purposes. This license does not include the right to:
• Modify, copy, or create derivative works of the Services
• Sell, license, rent, or lease the Services to third parties
• Use the Services for competitive analysis or to build competing products
• Remove or alter any proprietary notices
You retain ownership of your User Content. By submitting User Content to the Services, you grant NTRVSTA a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and process your User Content solely for the purpose of providing, improving, and promoting the Services. This license continues even if you stop using the Services, to the extent necessary to fulfill our obligations.
Content generated by our AI Features using your inputs ("AI Outputs") is subject to the following:
(a) you retain rights to your original inputs;
(b) NTRVSTA retains rights to the underlying AI models and technology;
(c) you are granted a license to use AI Outputs for your permitted purposes under these Terms.
If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such Feedback for any purpose without obligation to you.
Certain features of the Services require payment of fees. Current pricing is available on our website at ntrvsta.com/pricing. All fees are stated in U.S. dollars unless otherwise specified.
We use third-party payment processors (currently Stripe, Inc. and Payoneer, Inc.) to process payments. By making a payment, you agree to the payment processor's terms and conditions. We are not responsible for errors made by payment processors.
You authorize us to charge your designated payment method for all fees incurred. You must provide current, complete, and accurate billing information and promptly update it if it changes.
Some Services are offered on a subscription basis with recurring charges. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Subscriptions automatically renew at the then-current rate unless you cancel before the renewal date.
You may cancel your subscription at any time through your account settings at app.ntrvsta.com/settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by law.
Fees are exclusive of all taxes, levies, and duties. You are responsible for paying all applicable taxes, except for taxes based on NTRVSTA's net income.
We may change our fees at any time. For subscription services, price changes take effect at the start of your next billing cycle. We will provide reasonable notice of price changes.
The Services may contain links to or integrations with third-party websites, services, or applications. We are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.
Certain Services may be accessed through app stores (e.g., Apple App Store, Google Play). Your use of such services is subject to the applicable app store's terms and conditions in addition to these Terms.
Your privacy is important to us. Please review our Privacy Policy at ntrvsta.com/privacy-policy to understand how we collect, use, and protect your information.
By using the Services, you consent to the collection and processing of your personal data as described in our Privacy Policy, including the transfer of data to the United States and other countries where we or our service providers operate.
For users in the European Economic Area, United Kingdom, or Switzerland, our data processing activities comply with the General Data Protection Regulation (GDPR). You may exercise your rights under the GDPR as described in our Privacy Policy.
The Services are not directed to children under 16 years of age. We do not knowingly collect personal information from children under 16. If you believe a child has provided us with personal information, please contact us immediately.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NTRVSTA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
Without limiting the foregoing, NTRVSTA does not warrant that:
• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• Results obtained from the Services will be accurate or reliable
• Any AI-generated content or analysis will be accurate, complete, or suitable for any purpose
• Any defects or errors will be corrected
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NTRVSTA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER NTRVSTA WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL NTRVSTA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNTS PAID BY YOU TO NTRVSTA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These limitations apply to all claims, whether based on warranty, contract, tort, strict liability, or any other legal theory.
Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless NTRVSTA and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any dispute between you and a Provider or Client
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Before initiating any formal dispute resolution, you agree to contact us at legal@ntrvsta.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 60 days.
If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in Los Angeles County, California, in accordance with the JAMS Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted by one commercial arbitrator with substantial experience in intellectual property and commercial contract disputes.
For users located in the European Union or United Kingdom, arbitration may be conducted remotely or in a location mutually agreed upon by the parties.
(a) The arbitration will proceed in the English language.
(b) The arbitrator's decision shall be final and binding.
(c) Judgment upon the award may be entered in any court of competent jurisdiction.
(d) Arbitration Fees. For claims brought by individual consumers (defined as natural persons using the Services for personal, non-commercial purposes, such as participating in an interview as a candidate), NTRVSTA will pay all arbitration filing and administration fees for claims under $75,000, and we will not seek attorneys' fees unless the arbitrator determines the claim is frivolous. For all other users, including business entities, organizations, and individuals using the Services for commercial purposes, each party shall bear its own arbitration fees and costs in accordance with JAMS rules, and the arbitrator may award attorneys' fees to the prevailing party.
YOU AND NTRVSTA AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
YOU AND NTRVSTA WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY.
Notwithstanding the foregoing: (a) either party may bring individual claims in small claims court; (b) either party may seek injunctive relief in any court of competent jurisdiction to prevent infringement of intellectual property rights; (c) for EU/EEA residents, nothing in this section limits your right to bring claims before a competent court in your country of residence.
You may opt out of this arbitration agreement by sending written notice to: NTRVSTA Inc., 4500 Park Granada, Suite 202, Calabasas, CA 91302, within 30 days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out.
These Terms shall be governed by and construed in accordance with the Federal Arbitration Act, applicable federal law, and the laws of the State of California, without regard to its conflict of law provisions.
For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
These Terms remain in effect while you use the Services or maintain an Account.
You may terminate your Account at any time by contacting us at info@ntrvsta.com or through your account settings. Termination does not entitle you to any refund of fees paid.
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or requests by law enforcement.
Upon termination: (a) your license to use the Services immediately terminates; (b) you must cease all use of the Services; (c) we may delete your Account and User Content. Sections that by their nature should survive termination will survive, including Sections 7, 11-15, and 17.
We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or prominent notice in the Services. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.
These Terms, together with the Privacy Policy and any Additional Terms, constitute the entire agreement between you and NTRVSTA regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and NTRVSTA.
NTRVSTA shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

If you are a California resident, you may report complaints to the California Department of Consumer Affairs, Consumer Information Division, 1625 North Market Blvd., Suite N112, Sacramento, CA 95834, or by phone at (800) 952-5210.
